These terms of use ("Terms") govern access to and use of the Diane platform available at www.diane.estate (the "Platform"), operated by Diane ("Diane", "we"). By creating an account or using the Platform, you accept these Terms without reserve.

1. Purpose

The Platform is a software-as-a-service (SaaS) product for real-estate agents, agencies and professionals, allowing them to generate automated video tours of properties using artificial intelligence models (scripts, synthetic voice, avatar video, cinematic rendering).

2. Access to the service

Access to the Platform requires creating a user account. The user warrants that the information provided during registration is accurate, complete and up to date. The user is responsible for the confidentiality of their credentials and for all activity carried out from their account.

The Platform is intended for professional use. It is not available to minors under 16.

3. Subscription and billing

Access to paid features of the Platform is provided through subscription to one of the plans described on the Pricing page. Prices are shown excluding taxes in euros (or US dollars depending on the selected currency). Subscriptions are billed by monthly or annual charge depending on the selected cycle, via our payment provider Stripe.

Subscriptions automatically renew for the same duration as the initial period unless the user cancels before the renewal date, from the billing area of their account. No refund is granted for a period already started, unless required by law.

In the event of payment failure, Diane reserves the right to suspend access to the service after prior notice.

4. Credits and usage limits

Each plan includes a limited number of credits (corresponding to monthly video renders) and resources (storage, seats). Unused credits at the end of a monthly period do not roll over. The applicable limits are indicated on the Pricing page and in the billing area.

5. User content

The user remains the owner of all content submitted to the Platform (photos, descriptions, cloned voice, listing data) as well as the videos generated from this content. By using the Platform, the user grants Diane a non-exclusive, royalty-free licence to host, process and transmit this content solely for the purpose of providing the service (video rendering, delivery, backup).

The user warrants that they hold all necessary rights (sales mandate, owner authorisation, photo rights) to submit content to the Platform and broadcast it in the generated videos. Diane cannot be held liable for illicit, infringing or rights-violating content.

6. Acceptable use

The user undertakes not to use the Platform to:

  • distribute illicit, fraudulent, defamatory, hateful, pornographic or privacy-violating content;
  • generate videos for misleading purposes, unauthorised identity manipulation (deepfake) or impersonation;
  • circumvent technical limits or billing mechanisms;
  • attempt to access the systems, other users' data, or perform large-scale scraping operations;
  • use the Platform to train competing AI models.

Any breach may result in the suspension or termination of the account without notice, without prejudice to applicable civil or criminal proceedings.

7. Diane's intellectual property

The Platform, its software components, models, video templates, interfaces and brand are the exclusive property of Diane (or its licensors). Nothing in these Terms shall be construed as a transfer of these rights. The user is granted only a personal, non-exclusive, non-transferable right of use for the duration of their subscription.

8. Availability and maintenance

Diane uses reasonable means to ensure 24/7 availability of the Platform. Interruptions may nonetheless occur for maintenance operations, updates, or in case of force majeure. Agency and Enterprise plans may benefit from specific service-level commitments (SLA) stated in the offer.

9. Liability

Diane is bound by a best-efforts obligation. Its liability cannot be engaged for indirect damages (loss of clients, loss of revenue, reputational harm) nor for content submitted by the user. In any event, Diane's aggregate liability is limited to the amount effectively paid by the user over the twelve (12) months preceding the triggering event.

10. Personal data

The processing of personal data is governed by our privacy policy, which forms an integral part of these Terms.

11. Termination

The user may cancel their subscription at any time from the billing area, with effect at the end of the current period. Diane may terminate a user's access in case of breach of these Terms, after prior notice and, except in urgent cases, a reasonable period to remedy the situation.

After termination, the user's data is retained for 90 days then deleted, in accordance with the privacy policy.

12. Changes to these Terms

Diane reserves the right to modify these Terms at any time. Material changes are notified by email to active users at least 30 days before they take effect. Continued use of the Platform after that date constitutes acceptance of the new Terms.

13. Governing law and jurisdiction

These Terms are governed by French law. Any dispute relating to their interpretation or performance shall be submitted to the exclusive jurisdiction of the courts of Diane's registered office, subject to mandatory jurisdiction rules applicable to consumer users.
